1. Acceptance of Terms

By creating an account, accessing our platform, or using any of our services, you ("Customer," "you," "your") agree to be bound by these Terms of Service and our Privacy Policy.

If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, you may not use the service.

2. Description of Service

Our platform provides tools for:

• Automated audio interviews
• Recording and transcription
• AI-assisted analysis, scoring, and summarization
• Interview scheduling and workflows
• Storage and retrieval of candidate interview data

We do not make hiring decisions. All hiring decisions remain solely with the Customer.

3. Customer Responsibilities

You agree to:

• Comply with all applicable employment, labor, and anti-discrimination laws.
• Human review and candidate requests. You are solely responsible for ensuring that hiring decisions are made by qualified human personnel, and for maintaining processes to receive, track, and respond in a timely manner to candidate requests for human review, reconsideration, interview, or other accommodations, as required by applicable law. You will ensure that any automated or AI-assisted outputs are reviewed and evaluated by a human as part of your decision-making process, and that you do not use the Service in a manner that is discriminatory or that results in unlawful disparate treatment or disparate impact.
• Obtain any legally required consent from candidates to be recorded.
• Use the platform only for legitimate recruitment-related purposes.
• Not upload unlawful, discriminatory, or harmful content.
• Not misrepresent or misuse AI-generated results.
• Ensure that your internal users comply with these Terms.

4. Prohibited Uses

You may not use the service to:

• Conduct surveillance without consent
• Evaluate protected characteristics (race, gender, disability, etc.)
• Use the platform for roles located in New York City, or for remote or hybrid roles primarily tied to New York City
• Build competing machine-learning models
• Modify, reverse engineer, or attempt to extract source code
• Upload malicious files or interfere with platform functionality
• Commit or support fraudulent or illegal activity

We may suspend or terminate accounts for violations.

5. Candidate Data & Ownership

You retain ownership of the candidate data you upload. You grant us a limited license to process the data solely for providing the service. We may use anonymized, de-identified data to improve platform performance. You are responsible for notifying candidates of your data practices.

6. AI and Automated Processing

Our system performs automated transcription, AI-assisted analysis, pattern detection, and report generation.

We do not make hiring decisions. All outputs are advisory and must be reviewed by a human.

7. Intellectual Property

All platform content, software, algorithms, models, and trademarks are owned by the Company. You receive a limited, non-transferable license to use the service in accordance with these Terms. You may not copy, replicate, or re-sell the platform.

8. Termination

We may suspend or terminate your access if you violate these Terms, fail to pay fees, misuse candidate data, or use the platform for discriminatory or unlawful practices. Upon termination, your access is revoked, and we may delete data after the applicable retention period.

9. Disclaimer of Warranties

The service is provided "as is" and "as available." We do not guarantee the accuracy of AI-generated results, error-free operation, or uninterrupted uptime. AI outputs are probabilistic and should not be the sole basis for decisions.

10. Limitation of Liability

To the fullest extent permitted by law: we are not liable for hiring outcomes or decisions, nor for discrimination claims arising from Customer misuse. Our total liability is limited to the amount paid in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of misuse of candidate data, violations of employment or privacy laws, unauthorized recording or discrimination claims, or use of AI outputs without human review.

12. Governing Law

This agreement is governed by the laws of the applicable jurisdiction. Any disputes will be resolved in the courts of the applicable jurisdiction.

13. Modifications

We may update these Terms periodically. Continued use of the service constitutes acceptance of the updated Terms.
